1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SYGNOS™ ("SYGNOS," "we," "our," or "us") governing your access to and use of the sygnos.ai website, platform, and all related services (collectively, the "Services").

By creating an account, accessing, or using our Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use our Services.

If you are using the Services on behalf of an organization or business, you represent and warrant that you have the authority to bind that organization to these Terms, and all references to "you" include that organization.

2. Eligibility

To access and use our Services, you must:

• Be at least 18 years of age

• Have the legal capacity to enter into a binding contract

• Not be barred from receiving the Services under the laws of the United States or any other applicable jurisdiction

• Not have been previously suspended or removed from our Services

By using our Services, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use our Services.

3. Account Registration and Security

3.1 Account Creation To access the full features of our Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update that information as necessary to keep it accurate and complete.

3.2 Account Security You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at hello@sygnos.ai if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

3.3 One Account Per User Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions, access free trials more than once, or abuse promotional offers is prohibited and may result in immediate termination of all associated accounts.

3.4 Account Responsibility You are responsible for all activity that occurs under your account, whether or not you authorized that activity. You may not share your account credentials with any third party.

4. Subscription Plans and Payment

4.1 Subscription Plans SYGNOS™ offers the following subscription plans:

• Creator Plan: $47 per month or $397 per year

• Pro Plan: $97 per month or $797 per year

Plan features, limitations, and pricing are described on our pricing page at sygnos.ai and are subject to change with notice.

4.2 Billing and Payment All payments are processed through Stripe, our third-party payment processor. By providing your payment information, you authorize us to charge your payment method for the applicable subscription fees on a recurring basis. You agree to Stripe's terms of service in addition to these Terms.

4.3 Recurring Billing Your subscription will automatically renew at the end of each billing period (monthly or annual, depending on your selected plan) unless you cancel prior to the renewal date. You authorize us to charge your payment method for each renewal period without further authorization from you.

4.4 Price Changes We reserve the right to change our subscription fees at any time. We will provide you with at least 30 days' advance notice of any price changes via email or in-platform notification. Your continued use of the Services after a price change takes effect constitutes your agreement to pay the updated fees.

4.5 Taxes All fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities associated with your purchase, excluding taxes based on our net income.

4.6 Failed Payments If a payment fails, we will notify you and attempt to process the payment again. If payment remains unsuccessful after reasonable attempts, we reserve the right to suspend or terminate your access to the Services until payment is received.

5. Free Trials and Promotional Offers

5.1 Free Trials We may offer free trial periods at our discretion. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial period ends. We reserve the right to modify or terminate free trial offers at any time without notice.

5.2 Founding Member Offers Promotional founding member pricing is available for a limited time and limited number of spots as described on our website. Founding member pricing is locked for the duration of your active subscription. If you cancel and resubscribe, standard pricing applies.

5.3 One Trial Per User Free trials are available to new users only. Creating multiple accounts to access additional free trial periods is a violation of these Terms and may result in termination of all associated accounts.

6. Cancellation and Refunds

6.1 Cancellation You may cancel your subscription at any time through your account dashboard or by contacting us at hello@sygnos.ai. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until the end of the paid period.

6.2 Effect of Cancellation Upon cancellation, your account will revert to a limited or inactive state at the end of your billing period. You will have 30 days following cancellation to export your Signature System data. After 30 days, your session data and Signature Systems may be permanently deleted.

6.3 Refund Policy All subscription fees are non-refundable except as expressly stated in these Terms or as required by applicable law. We do not offer prorated refunds for unused portions of a subscription period.

6.4 Exceptions We may, at our sole discretion, offer refunds in exceptional circumstances. Refund requests must be submitted to hello@sygnos.ai within 7 days of the charge in question. All refund decisions are final.

6.5 Chargebacks If you initiate a chargeback or payment dispute with your financial institution without first contacting us to resolve the issue, we reserve the right to suspend your account pending resolution and to dispute the chargeback. Chargebacks that are determined to be fraudulent or in violation of these Terms may result in permanent account termination.

7. Intellectual Property

7.1 SYGNOS™ Intellectual Property The Services, including all software, algorithms, designs, text, graphics, logos, user interfaces, and the underlying technology that powers the extraction, structuring, and branding process, are owned by SYGNOS™ and protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or underlying technology without our explicit written permission.

7.2 Your Content and Intellectual Property You retain full ownership of all content you submit through our Services, including your session answers, uploaded documents, voice recordings, and the Signature System output generated from your inputs ("Your Content"). By using our Services, you grant SYGNOS™ a limited, non-exclusive, royalty-free license to store, process, and use Your Content solely for the purpose of providing the Services to you.

7.3 Your Signature System The Signature System generated through your use of the Services is based on your unique inputs and is your intellectual property. SYGNOS™ makes no claim to ownership of your Signature System, your methodology, your frameworks, or your positioning language.

7.4 AI-Generated Output You acknowledge that the Services use artificial intelligence to process your inputs and generate structured output. SYGNOS™ does not warrant that AI-generated output will be unique, free from similarity to outputs generated for other users, or suitable for trademark or copyright protection without independent legal review. You are solely responsible for evaluating and protecting any intellectual property rights in your Signature System output.

7.5 Feedback If you provide feedback, suggestions, or ideas about our Services, you grant SYGNOS™ an unrestricted, perpetual, irrevocable, royalty-free right to use that feedback for any purpose without compensation or attribution to you.

7.6 SYGNOS™ Trademarks SYGNOS™, the SYGNOS logo, "Genius… Untangled," "Chaos Goes In. Signature Comes Out," and other marks associated with our Services are trademarks of SYGNOS™. You may not use our trademarks without our prior written consent.

8. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

8.1 Prohibited Content

• Submit content that is illegal, fraudulent, defamatory, obscene, harassing, threatening, or otherwise objectionable

• Submit content that infringes the intellectual property rights of any third party

• Upload malicious code, viruses, or any software designed to damage or interfere with our Services

• Submit false, misleading, or deceptive information

8.2 Prohibited Conduct

• Use the Services to develop competing products or services

• Reverse engineer, decompile, or attempt to extract the source code of our platform or AI systems

• Scrape, crawl, or use automated means to access or collect data from our Services

• Circumvent, disable, or interfere with security features of our Services

• Share, resell, or sublicense access to our Services without our written consent

• Use our Services to process the confidential information of third parties without appropriate authorization

• Attempt to gain unauthorized access to any part of the Services or any system connected to our Services

• Impersonate any person or entity or misrepresent your affiliation with any person or entity

• Use the Services in any manner that could overburden, damage, or impair our infrastructure

8.3 Compliance With Laws You agree to use our Services in compliance with all applicable local, state, national, and international laws and regulations.

8.4 Consequences of Violation Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, at our sole discretion.

9. Privacy and Data

Your use of the Services is subject to our Privacy Policy, available at sygnos.ai/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

10. Third-Party Services and Integrations

Our Services integrate with or rely on third-party services, including Stripe, GoHighLevel, Vercel, and Supabase. Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the practices, availability, or reliability of third-party services.

11. Disclaimers and Warranties

11.1 As-Is Basis THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYGNOS™ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Results SYGNOS™ does not warrant that the Services will meet your specific business objectives, that the output generated will be suitable for any particular commercial purpose, or that use of the Services will result in any specific business outcome, revenue, or success. Results vary based on the quality of your inputs, your market, and factors outside our control.

11.3 No Professional Advice The Services are not a substitute for legal, financial, business, or professional advice. Any output generated through our Services, including Signature System frameworks, positioning language, and methodology documentation, is for informational and organizational purposes only. You are solely responsible for evaluating and acting on any output generated through our Services.

11.4 Availability We do not guarantee that the Services will be available at all times or without interruption. We reserve the right to modify, suspend, or discontinue the Services at any time with or without notice.

11.5 Accuracy of AI Output AI-generated output may contain errors, inaccuracies, or omissions. You are responsible for reviewing and verifying all output before use. SYGNOS™ is not liable for any errors in AI-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYGNOS™, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF SYGNOS™ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SYGNOS™'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SYGNOS™ IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless SYGNOS™ and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Services

• Your violation of these Terms

• Your violation of any third-party rights, including intellectual property rights

• Your Content or any content you submit through the Services

• Your violation of any applicable law or regulation

14. Dispute Resolution

14.1 Informal Resolution Before filing any formal legal claim, you agree to contact us at hello@sygnos.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving notice.

14.2 Binding Arbitration If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in English and, unless otherwise required by the AAA rules, will be conducted on a documents-only basis or via videoconference.

14.3 Class Action Waiver YOU AND SYGNOS™ AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

14.4 Exceptions Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.5 Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. To the extent court proceedings are permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Wayne County, Michigan].

15. Modifications to the Services and Terms

15.1 Changes to the Services We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

15.2 Changes to These Terms We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification or displaying a prominent notice on the platform. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

16. Termination

16.1 Termination by You You may terminate your account at any time by canceling your subscription through your account dashboard or by contacting us at hello@sygnos.ai.

16.2 Termination by SYGNOS™ We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms, non-payment of fees, or conduct that we determine to be harmful to other users, third parties, or the integrity of the Services.

16.3 Effect of Termination Upon termination, your right to use the Services immediately ceases. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution.

16.4 Data Following Termination Following termination, you will have 30 days to export your data before it is permanently deleted from our systems, unless termination was due to a violation of these Terms, in which case we reserve the right to delete your data immediately.

17. General Provisions

17.1 Entire Agreement These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and SYGNOS™ regarding the Services and supersede all prior agreements, understandings, or representations.

17.2 Severability If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

17.3 Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of these Terms must be in writing and signed by an authorized representative of SYGNOS™.

17.4 Assignment You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure SYGNOS™ shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, or internet or infrastructure failures.

17.6 No Third-Party Beneficiaries These Terms do not create any third-party beneficiary rights.

17.7 Headings Section headings in these Terms are for convenience only and have no legal or contractual effect.
